Relationship with the reseller: 与经销商的关系
- M800 will only issue the invoice the reseller. The reseller sells CINNOX on behalf of M800.
  M800仅向经销商开具发票。经销商代表M800销售CINNOX。
Contractual terms (duration) 合同期限
- The initial term shall be for a period of three (3) years, and shall be automatically renewed on a successive rolling three (3) years basis.
  初始期限为三 (3) 年，除非一方根据协议条款终止本协议,否则协议将会以三 (3) 年的基础上自动续期。
Intellectual Property 知识产权
- - The Group shall own and retain all intellectual property rights relating to Cinnox.
    集团应拥有并保留与Cinnox有关的所有知识产权。
  - The Partner shall have no right, title or interest of the intellectual property rights.
    合作方对集团的知识产权不享有任何权利、所有权或利益。

Finance 财务

Credit period信贷期
- The Group shall invoice the partner the subscription fees and monthly recurring charges for the service of Cinnox by the end-user at the rate set at Cinnox’s website.
  M800 将按照Cinnox网站中规定的费用以及服务使用的费用向合作方为每位客户购买的所有服务开具发票。
- The payment of the invoice will be due within 30 days from the invoice date.
  合作方将在发票日期后三十 (30) 天内支付 M800 发票的款项。
Unpaid invoice未付费用
- Unpaid invoice shall be subject to a monthly interest of 1% on the outstanding balance.
  未付余额的利息为每月 1% 。
- The partner shall notify the Group of any disputed charges within 15 days from the invoice date.
  如合作方就发票的金额有任何争议,合作方应在收到发票十五 (15) 天内通知及提交M800书面通知以及相关证据。
Currency货币
- The Group will charge clients in USD.
  合作方以美元支付所有费用和收费。
Pricing 定价
- The Group shall have the sole discretion to set the price.
  M800拥有制定价格的唯一决定权。

Commission 佣金

M800 shall, on a monthly basis, issue the invoice to the Partner in a discount set out below.
M800 应每月向合作伙伴开具发票，发票折扣如下。

M800 shall, on a semiannually basis, pay the Partner a commission in a rate set out below, after the receipt of the invoiced fees by M800 from the Partner. In avoidance of doubt, usage-based charges of SMS and usage-based charges of voices (including Toll-Free, IDD and DID) are excluded for calculating the commission.
在 M800 收到合作伙伴开具的费用发票后，M800 应每半年向合作伙伴支付一次佣金，佣金比例如下。为免生疑问，在计算佣金时，SMS短信使用费和按使用量收费的通话费(包括Toll-Free, IDD和DID）的收费均不包括在内。

If there is any derviation of the above discount/commission scheme, please seek approval from CEO, finance, operation and legal department.
如不採用上述折扣/佣金计划，请征得CEO、财务、运营和法律部门的批准。

For the mega-tech company (e.g. Alibaba or Huawei), they may charge the Group a fixed commission for placing Cinnox on its online platform.
在大型科技公司(如Alibaba/Huawei)的在线平台上投放 Cinnox 时，大型科技公司向集团收取固定佣金。

Legal法律

Contracting party 缔约方
- If the Group targets an oversea end-user/customer (i.e. international customer), M800 Limited (a HK entity) should be the signing party.
  如果M800的目标客户是海外最终用户/客户（即国际客户）， M800 有限公司（香港实体）应为签署方。
- If the Group targets a PRC end-user/customer, 司絡數碼深圳有限公司 (a PRC entity) should be the signing party.
  如果M800的目标客户是中国的最终用户/客户，签署方应是司络数码深圳有限公司（中国实体）。
- If the partner requests another signing arrangement, please discuss with the legal department.
  如果合作伙伴要求另一种签署安排，请与法律部门协商。
Confidentiality 保密性
- The Group and the partner shall protect confidential information from unauthorised disclosure or misuse.
  M800和合作伙伴应保护机密信息不被擅自披露或滥用。
Indemnification 弥偿
- The partner shall indemnify and hold the Group harmless from any claims which are arise out of a breach by the partner of the agreement.
  如果因合作伙伴违反协议而引起任何索赔，合作伙伴应向M800作出赔偿并使集团免受损害。
Notice period for termination 终止通知期
- The partner shall give 60 days written notice for terminating the agreement
  合作伙伴应提前 60 天书面通知终止协议。
- The Group and the customer/supplier shall comply with all laws and regulations.
  M800和客户/供应商应遵守所有法律法规。

    如果签署方是司絡數碼深圳有限公司（中国实体），建议适用中国法律。
- If the partner requests another jurisdiction, please discuss with the legal department.

Limitation of liability 责任限制
- EB services (Cinnox) is provided on the ‘as is’ and ‘as available’ basis.

- The Group disclaim all warranties whether express, implied or statutory, including without limitation, any implied warranties of performance, satisfactory quality, merchantability, fitness for a particular purpose or non-infringement of third party rights.

- The Group shall not be liable to the partner for any indirect, special, incidental or punitive damages, including cost of cover, loss of profits, loss of data, or otherwise even if it has been advised of the possibility of such damages.
  对于任何间接的、特殊的、附带的或惩罚性的损失，包括保险费用、利润损失、数据丢失或其他损失，即使M800已被告知可能发生此类损失，M800也不承担任何责任。
Appointment 任命
- The group will appoint the partner as a non-exclusive authorised reseller of Connix in a specific territory. If the partner request to be the exclusive authorised reseller, please discuss with the management and the legal department.
  M800将指定该合作伙伴为 Connix 在特定地区的非独家授权经销商。如果合作伙伴要求成为独家授权经销商，请与管理层和法律部门协商。

  - perform market research to keep the Group fully informed of any changes

  - not encourage current clients of the Group to stop their use of Cinnox. This obligation shall continue up to 1 year after the term of the agreement

  - comply with all law when dealing with customers
    与客户打交道时遵守所有法律

The Group’s obligation M800的义务

  - supply the partner with technical and publicity literature

  - not be liable for the partner for the accuracy or completeness of any information provided to the partner

Data Protection 数据保护
- The Group and Cinnox will be bound by the data laws in the territory.

- If the partner becomes aware that any personal data is in contravention of the laws and the agreement, the partner shall promptly notify the Group, and give full details of the contravention.

- The Group shall provide service support

- The Group shall provide the updated software.
