• Contracting party 缔约方

  • M800 Limited (a HK entity) should be the signing party.

    M800 有限公司（香港实体）应为签署方。
  • If the partner requests another signing arrangement, please discuss with the legal department. 
    如果合作伙伴要求另一种签署安排，请与法律部门协商。
• Compliance with Laws and Obligations 遵守法律和义务
  • Each Party shall ensure that it:
    M800/客户应确保其 
    • obtains and maintains all valid licenses, approvals, consents and authorizations necessary for it to perform lawfully its obligations under the agreement
      获得并保持合法履行本协议义务所需的一切有效许可、批准、同意和授权
    • complies at all times with all relevant laws and obligations, including without limitation any applicable license under theparty’s local Telecommunication Ordinance and/or telecommunications laws
      始终遵守所有相关法律和义务，包括但不限于缔约方当地《电信条例》和/或电信法规定的任何适用许可
  • Neither party shall have any liability under the agreement for failure of the other party to comply with any such relevant laws or obligations or to obtain and maintain the necessary licenses, consents, authorizations or approvals
    对于另一方未能遵守任何相关法律或义务，或未能获得和维持必要的许可、同意、 授权或批准，任何一方均不承担本协议项下的任何责任。
• Confidentiality 保密性 
  • Each party agrees to keep and procure to be kept secret all confidential information disclosed by the other party.
    各方同意对另一方披露的所有机密信息保密并促使其保密。
• Limitation of Liability 责任限制
  • M800 hereby expressly disclaim any warranty, responsibility or liability that the service will be uninterrupted, error-free or free from any contaminating or destructive properties. 
    M800 在此明确声明，不对本服务的不间断、无差错或无任何污染或破坏性特性作出任何保证、承担任何责任或义务。
  • M800 shall not be liable to customer or any party for any cost, expense, loss or damage arising from any incompleteness, inaccuracies, error, omission, misstatement or delay of the service.
    M800 無須就服務的任何不完整、不準確、錯誤、遺漏、錯誤陳述或延誤所引致的任何費用、支出、損失或損害向客戶或任何一方負責。
  • M800 shall not be liable to customer in the event that M800 is unable to perform an obligation under the agreement or provide the service because of any factor outside of M800’s reasonable control, including acts of God, industrial action, default or failure of a third party, failure or malfunction of equipment or transmission difficulties or governmental action or interruption of services.
    如因 M800 合理控制范围外的任何因素，包括天灾、工业行动、第三方违约或故障、设备故障或失灵、传输困难或政府行为或服务中断，导致 M800 无法履行本协议项下的义务或提供服务，M800 无需对客户承担任何责任。
• Non Exclusivity 非排他性
  
  • No exclusivity is granted by M800 to Customer under the agreement.
    根据本协议，M800 不授予客户排他性。
  • M800 shall be at liberty to enter into agreements or arrangements with third parties relating to the provision of services which are the same as or similar to the Services provided under this Agreement.
    M800 可随意与第三方就提供与本协议项下的服务相同或相似的服务签订协议或安排。

Operation运行

• Provision of services 服务提供
  
  • M800 and the customer shall use reasonable endeavours to agree with the other party on the network parameters, testing procedures and arrangement for implementing the services. 
    M800 和客戶須盡合理的努力，與對方就網絡參數、測試程序和實施服務的安排達成協議。
  • Customer shall provide M800 with the forecasted voice traffic on a 6-month basis, so as to enable M800 to plan for future resource allocation and expansion.
    客户应向 M800 提供 6 个月的语音流量预测，以便 M800 计划未来的资源分配和扩展。
  • Customer shall handle all third party’s (including end user’s) complaints and enquiries in relation to the service.
    客户应处理所有第三方（包括最终用户）有关服务的投诉和查询。
  • The initial term shall be for a period of twelve (12) months.
    初始任期为十二（12）个月。
  • Following the completion of the initial term, the term shall be automatically renewed for successive periods of twelve (12) months, unless terminated by either Party giving to the other ninety (90) Calendar Days’ prior written notice prior to the end of the then existing term.
    初始期限结束后，除非任何一方在现有期限结束前提前九十 (90) 个日历日向另一方发出书面通知终止，否则期限将自动连续延长十二 (12) 个月。

Finance 财务

• Charges and payment 收费和付款
  • All charges for the Services are exclusive of taxes or tariff.
    所有服务费用均不含税或关税。
  • All amounts payable by Customer to M800 shall be made without any deduction, set-off or counterclaim and free and clear of any deduction or withholding on account of any taxes or tariff.
    客户应向 M800 支付的所有款项均不得扣除、抵消或反诉，也不得扣除或预扣任何税款或关税。
  • Each party shall be responsible for the taxes of its tax jurisdiction.
    各方应对其税收管辖区的税收负责 。
  • M800 may at any time change the charges by giving not less than seven (7) calendar days’ written notice to customer, whether by post, fax or e-mail prior to the effective date of the new charges.
    M800 可随时更改收费标准，但需在新收费标准生效前至少七（7）个日历日以邮寄、传真或电子邮件等方式书面通知客户。
  • M800 shall prepare a monthly invoice (in USD) for customer’s settlement of payment.
    M800 将按月开具发票（美元）供客户结算。
  • M800 shall forward such invoice to customer not later than fifteen (15) days after the end of the immediately preceding calendar month.
    M800 應在緊接的上一個曆月結束後的十五（15）日內，將該發票轉交客戶。
  • The invoices are due and payable within thirty (30) calendar days from the date of the receipt of the invoice.
    发票应在收到发票之日起三十 (30) 个日历日内到期支付。
  • If Customer fails to make payments under any invoice by the payment due date, M800 shall be fully entitled to claim late payment interest charges on the amounts unpaid after the payment due date at the rate of 1.5% per month. 
    如果客户未能在付款到期日前支付任何发票项下的款项，M800 有权对到期日后未支付的款项按每月 1.5% 的利率收取逾期付款利息。
  • The payment of invoice amount shall be by wire transfer to the bank account designated by M800 hereunder. Each party shall be responsible for its own bank charges.
    发票金额应以电汇方式支付至 M800 在本协议项下指定的银行账户。各方应自行承担银行费用。
  • In the event that customer in good faith disputes any amount on an Invoice, Customer shall notify M800 and submit to M800 within thirty (30) Calendar Days from the date of such disputed Invoice, written documentation identifying the number of excessive fixed and mobile minutes delivered which it disputes  together with the supporting evidence including but not limited to the full CDR and/or rate sheet. 
    如果客户出于善意对发票上的任何金额提出争议，客户应通知 M800，并在该争议发票日期起三十（30）个日历日内，向 M800 提交书面文件，说明其所争议的超额固定和移动分钟数，以及支持证据，包括但不限于完整的 CDR 和/或费率表。
  • If the disputed amount is less than or equal to 2% of the amount invoiced (excluding Taxes), Customer shall accept the invoiced amount without dispute and make full payment to M800 on or before the Payment Due Date.
    如果争议金额小于或等于发票金额（不含税）的 2%，客户应无争议地接受发票金额，并在到期付款日或之前向 M800 全额付款。 
• Prepayment 预付
  
  • Customer shall provide the cash deposit to M800 in the sum of [*] immediately upon signing of this Agreement.
    客户应在签署本协议后立即向 M800 提供总额为 [*] 的现金押金。
