Legal法律

• Contracting party 缔约方

  • M800 Limited (a HK entity) should be the signing party.

    M800 有限公司（香港实体）应为签署方。
  • If the partner requests another signing arrangement, please discuss with the legal department. 
    如果合作伙伴要求另一种签署安排，请与法律部门协商。
• Confidentiality保密性 
  • During the term of the agreement and for two (2) years thereafter, M800 and the customer shall regard and preserve as confidential all confidential information disclosed by one party and related to the business of the disclosing party, and received as a result of the agreement by the other party.
    在协议有效期内及其后两 (2) 年内，M800 和客户应将一方披露的、与披露方业务相关的、另一方因协议而收到的所有机密信息视为机密信息并予以保护。
  • M800 and the customer agree not to disclose any such confidential information without first obtaining the disclosing party's prior written consent.
    M800 和客户同意，在未事先获得披露方书面同意的情况下，不会披露任何此类机密信息。
• Intellectual property 知识产权
  • M800 and the customer agrees not to display or use any of the other party's intellectual property and shall not permit the same to be displayed or used by third parties.
    M800 和客户同意不展示或使用对方的任何知识产权，也不允许第三方展示或使用。
  • M800 and the customer understood that the other party’s intellectual property are proprietary to the other party. 
    M800 和客户均理解对方的知识产权为对方所有。
• Licenses and regulatory events 许可证和监管活动
  • M800 and the customer warrant that as at the date of execution of the agreement it has obtained all telecommunications business licences/registrations or operation permits issued by the government authorities that are required for provision of the services under this Agreement.
    M800 和客户保证，在协议签署之日，M800 和客户已获得由政府部门颁发的所有提供本协议项下服务所需的电信业务执照/注册证或经营许可证。
  • Each Party further represents and warrants that it will use its reasonable endeavours to maintain the licenses/registrations or permits, and make prompt notification to the other party upon the expiry of or changes to such licenses/registrations or permits that may be relevant to this Agreement.
    每一方还声明并保证，它将尽其合理的努力维护执照/注册或许可证，并在可能与本协议相关的执照/注册或许可证到期或发生变化时及时通知另一方。
• Limitation of Liability 责任限制
  • Neither party shall have any liability to the other party, unless such liability arises as a result of gross negligence or willful misconduct howsoever arising out of or in connection with the performance of the party’s obligation under the agreement, in which case such liability shall be limited to direct damages and in no case shall either Party's liability exceed the value of one (1) month’s average invoice, calculated with reference to the previous twelve (12) months’ invoices. Where twelve (12) months have not yet passed, the said liability shall, instead, not exceed the value of the previous month’s invoice. In no case shall a Party be liable to the other Party under this Agreement for any loss of revenue, business, contracts, anticipated savings, or profits or for any indirect or consequential loss howsoever arising.
    任何一方均不对另一方承担任何责任，除非该责任是由于该方履行协议义务或与履行协议义务有关的重大过失或故意不当行为造成的，在这种情况下，该责任应仅限于直接损害赔偿，并且在任何情况下，任何一方的责任均不得超过参照前十二（12）个月发票计算的一（1）个月平均发票价值。如果十二 (12) 个月尚未过去，则上述责任不应超过前一个月的发票价值。在任何情况下，一方均不对另一方在本协议项下的任何收入、业务、合同、预期节余或利润损失或任何间接或后果性损失承担责任。
• Governing law 管辖法律
  • The agreement shall be governed by and construed in accordance with the laws of Hong Kong.
    协议受香港法律管辖，并按香港法律解释。
• Obligations of parties 各方的义务
  • In the event of any service outage caused by an unforeseen technical or system fault, the party whose Platform is so affected will take remedial action to restore the international short message exchange service.
    如果因不可预见的技术或系统故障造成任何服务中断，平台受影响的一方将采取补救措施恢复国际短信息交换服务。
  • M800 and the customer shall provide call detail report (CDR)/Bulk SMS Data and shall create Short Message detail records for billing and reconciliation purposes and also provide through the respective Parties’ Platforms for reference only the SMS reports to the other Party for download.
    M800 和客戶須提供通話詳情報告 (CDR) / 整批短訊數據，並須建立短訊詳情記錄，以作計費和對帳之用，亦須透過雙方各自的平台提供短訊報告予對方下載，以供參考。
  • M800 and the customer shall use their reasonable endeavours to ensure their respective platforms have sufficient capacity to handle the short message traffic in the provision of the international short message exchange service and shall promptly expand the capacity of their respective platforms where required.
    M800 和客户应尽其合理的努力，确保各自的平台有足够的容量来处理提供国际短信息交换服务时的短信息流量，并应在需要时及时扩充各自平台的容量。
  • M800 shall provide at its own cost and expense all necessary equipment for the M800 Platform.
    M800 应自费为 M800 平台提供所有必要的设备。
  • Customer shall provide at its own cost and expense all necessary equipment for its Platform.
    客户应自费为其平台提供所有必要的设备。
  • M800 and the customer shall provide 7 x 24 technical support services to support the International Short Message Exchange. 
    M800 和客户应提供 7 x 24 小时技术支持服务，以支持国际短信息交换。
  • M800 shall retain the title and right of ownership in any real property, conduit, fiber or equipment in or on the M800 Platform or in any other infrastructure, systems, equipment, facilities or other property utilized in connection with M800’s provision of the International Short Message Exchange Service.
    M800 將保留對 M800 平台內或平台上的任何不動產、管道、光纖或設備，或任何其他與 M800 提供國際短訊交換服務有關的基礎設施、系統、設備、設施或其他財產的所有權和擁有權。
  • Customer shall retain the title and right of ownership in any real property, conduit, fiber or equipment in or on its Platform or in any other infrastructure, systems, equipment, facilities of the International Short Message Exchange Service.
    客户应保留对其平台内或平台上的任何不动产、导管、光纤或设备或国际短信交换服务的任何其他基础设施、系统、设备、设施的所有权和权利
  • M800 and the customer shall comply with all applicable laws and regulations, directives, statements and codes of practices issued by the relevant authorities as from time to time in force in Hong Kong when performing its obligations under this Agreement.
    M800 和客户在履行本协议项下的义务时，应遵守香港有关当局不时颁布的所有适用法律和法规、指令、声明和实务守则。

Finance 财务

• Charges and payment 收费和付款
  • The initial setup fee of [*] shall be payable by the customer immediately upon signing of the agreement.
    客户应在签署协议后立即支付初始设置费 [*]。
  • M800 shall charge a short message termination fee for short message submitted to the MNOs, MVNOs and customers of M800.
    M800 将对提交给移动网络运营商、MVNO 和 M800 客户的短信息收取短信息终止费。
  • M800 may change the Short Message Termination Fee by giving the customer not less than fifteen (15) days’ prior written notice. 
    M800 可在不少于十五 (15) 天前书面通知客户更改短信息终止费。
  • The customer shall make prepayment. 
    客户应预付款。
  • M800 shall charge the customer the minimum monthly usage commitment charge in the sum of [*] for terminating the Short Message originated from the customer. 
    M800 将向客户收取最低月使用量承诺费，总金额为 [*] ，用于终止客户发出的短信息。
  • M800 shall send the monthly invoice to the customer which shall be settled with fifteen (15) days after the date of invoice.
    M800 将每月向客户发送发票，客户应在发票日期后十五（15）天内结清发票。
  • All the monthly invoices shall be settled in United States dollars.
    所有月度发票均以美元结算。
  • The difference between the number of chargeable short message set out in the monthly invoice issued by M800 and the customer’s bulk SMS data is less than or equal to 5% of the chargeable short message set out in the invoice, the customer shall accept the invoiced amount without dispute and make full payment to M800 on or before the payment due date. 
    如 M800 每月發出的發票上所載的收費短訊數目與客戶的大量短訊數據之間的差額少於或相等於發票上所載收費短訊數目的 5%，客戶須接受發票上的金額而無須提出爭議，並於到期付款日或之前向 M800 全數付款。
  • If the difference between the number of chargeable short message set out in the monthly invoice issued by M800 and the customer’s bulk SMS data is more than 5% of the chargeable short message set out in the invoice, the customer shall notify M800 of the invoiced amount which it disputes within thirty (30) days of the date of the invoice.
    如 M800 每月發出的發票所載的收費短訊數目與客戶的短訊量數據相差超過發票所載收費短訊數目的 5%，客戶須於發票日期起計三十 (30) 天內通知 M800 其有爭議的發票金額。

Operation运行

• Terms 合约期
  • The initial term shall be for a period of one (1) year.
    初始任期为一（1）年。
  • The agreement will be automatically renewed on a month-to-month basis after the expiration of the initial term or any mutually agreed subsequent term.
    在初始期限或双方商定的后续期限到期后，协议将按月自动续约。
  • If either Party desires to cancel the agreement upon the expiration of the initial term or any subsequent term, it shall give the other party written notice to cancel at least thirty (30) days prior to the expiration of the initial term or then current term.
    如果任何一方希望在初始条款或任何后续条款到期时取消协议，则应在初始条款或当前 条款到期前至少三十 (30) 天向另一方发出取消协议的书面通知。
  • M800 and the customer shall be entitled to immediately suspend the agreement or any service rendered by giving seven (7) days’ prior written notice to the other party.
    M800 和客户均有权在提前七（7）天以书面形式通知对方的情况下，立即中止本协议或所提供的任何服务。
